Terms and Conditions

These Terms govern your access to and use of our websites, applications, and services (the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility & Accounts

 

  • Age. You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Services and at least 18 to purchase paid offerings.

  • Account Accuracy. You agree to provide accurate, current information and keep it updated.

  • Security. You are responsible for all activity under your account and for safeguarding your credentials.

  • Parent/Guardian Authority. If you enroll a student, you represent you’re authorized to share their information and accept these Terms on their behalf.

2. Services, Scheduling, Plans & Billing

 

  • Scope. We provide tutoring, courses, assessments, communications (including SMS/email), and related educational resources.

  • Scheduling & Attendance. Sessions are scheduled via our calendar tools. You agree to attend on time and ensure working internet/device/audio/video.

  • Rescheduling/Cancellations. Unless otherwise stated at purchase, changes require 24 hours’ notice. Late cancellations or no-shows may be forfeited.

  • Auto-Renewal. Subscriptions/packages auto-renew until canceled. Cancel before the next billing date via your account or by emailing support@diptasmathacademy.com.

  • Fees & Taxes. Prices may exclude taxes/processor fees; you authorize us to charge these when due.

  • Refunds. Unless a specific program states otherwise at checkout, all fees are non-refundable except where required by law.

  • Price/Feature Changes. We may modify prices or features with prior notice; changes apply to future billing cycles.

3. Acceptable Use

 

You agree not to, and not to allow others to:
(a) use the Services for unlawful, harmful, infringing, or deceptive purposes;
(b) upload or share content that is illegal, harassing, defamatory, obscene, or violates others’ rights;
(c) copy, scrape, or crawl content except as enabled by the Services;
(d) bypass, disable, or interfere with security or access controls;
(e) reverse engineer, decompile, or attempt to derive source code;
(f) use automated means (bots/scripts) without our prior written consent.

4. User Content & License

  • Ownership. You (or the student) retain ownership of content you submit (e.g., files, responses, notes, messages).

  • License to Us. You grant us a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and display your content solely to operate, improve, and provide the Services (including instruction quality, progress tracking, support, and safety).

  • Prohibited Content. Do not submit content you lack rights to or that includes personal data of others without permission.

5. Educational Disclaimers

 

  • No Guaranteed Outcomes. We provide educational support only and do not guarantee specific scores, grades, admissions, scholarships, or outcomes.

  • Independent Effort. Results depend on individual effort, attendance, and factors beyond our control.

6. SMS/Text Communications (TCPA Notice)

By opting in to SMS, you agree to receive recurring texts at the mobile number provided for alerts, reminders, and promotional content. Message frequency may vary. Message and data rates may apply.

  • Reply STOP to cancel; HELP for help.

  • Delivery is not guaranteed; carriers/technical issues may cause delays or failures.

  • Consent is not a condition of purchase.

  • Carriers are not liable for delayed/undelivered messages.

7. Third-Party Services & Links

 

We may link to or integrate third-party services (e.g., Zoom, Calendly, payment processors, analytics). We don’t control and aren’t responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms and privacy policies.

8. Payments & Authorization

You authorize us and our payment processors to charge your selected payment method for all amounts due (including recurring fees, taxes, and related charges). You represent you’re authorized to use the payment method and that your payment details are accurate.

9. Intellectual Property

 

All materials in the Services (lessons, videos, problem sets, text, graphics, logos, trademarks) are owned by us or our licensors and protected by IP laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial educational use. No other rights are granted.

10. Confidentiality & Student Information

 

We treat student information as confidential and use it to deliver the Services, provide progress updates to parents/guardians (when applicable), and improve instruction. Don’t share session links or materials publicly. See our Privacy Policy for details.

11. Warranties; “AS IS” Disclaimer

 

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We don’t warrant the Services will be uninterrupted, error-free, or secure.

12. Limitation of Liability

 

TO THE FULLEST EXTENT PERMITTED BY LAW, DIPTAS MATH ACADEMY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND TUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
(Some jurisdictions limit disclaimers/limitations; where so, they apply to the maximum extent permitted.)


13. Indemnification

 

You agree to indemnify, defend, and hold harmless Diptas Math Academy and its affiliates, officers, employees, agents, and tutors from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) your content; or (c) your violation of these Terms or applicable law.

14. Termination & Suspension

 

We may suspend or terminate access immediately (with or without notice) if you violate these Terms, create risk or legal exposure, or for other legitimate business reasons. Upon termination, your right to use the Services ceases; provisions that by their nature should survive (e.g., IP, disclaimers, limitations, indemnity, payment obligations) will survive.

15. Changes to the Services or Terms

 

We may update the Services and these Terms from time to time. Material changes will be communicated (e.g., by email or site notice). Your continued use after changes become effective constitutes acceptance of the updated Terms. The Effective Date above reflects the latest revision.

16. Governing Law & Venue

 

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware.
